Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Tillage platform operated by Empowered Labs LLC ("Tillage", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using Tillage, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You represent that you are over the age of 18 and have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Service

Tillage is an AI-powered quote-to-cash platform that provides:

• Quote generation with variance and profit protection
• Contract creation and digital signature capabilities
• Automated invoice generation and management
• Payment processing through Stripe
• Integration with third-party services (Harvest, QuickBooks, Xero, etc.)
• Analytics and reporting tools
• Team collaboration features

3. Account Registration and Security

Account Creation

To use Tillage, you must create an account by providing accurate, complete information. You agree to:

• Provide truthful and accurate information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account
• Not share your account with others

Account Types

• Free Account - Includes all platform features with a 1% platform fee on processed payments
• Premium Account - $49/month per team, includes all features with 0% platform fee (just Stripe rates)

Organization Accounts

Tillage subscriptions are intended for use by a single organization. Sharing Premium account features with individuals or businesses outside your registered organization is prohibited and may result in account suspension or termination.

4. Fair Use Policy

Your use of Tillage is subject to our Fair Use Policy. We maintain generous limits to accommodate most agency needs, but certain usage patterns may require a custom plan to ensure sustainability.

Examples of usage requiring a custom plan discussion:

• High invoice volume with minimal online payment collection - Generating significant invoice volumes while collecting very few payments through Tillage indicates use primarily as an invoicing tool rather than a payment solution
• Large team on free plan - Substantial team size typically indicates established operations that would benefit from (and save money with) Premium's 0% platform fee
• High payment processing volumes - Processing $500,000+/month in payments (we'll discuss volume pricing)
• Excessive API usage - Automated requests beyond normal platform use
• Organization sharing violations - Sharing account access outside your organization

Our free plan is sustainable because agencies collect payments online (where we earn our 1% platform fee). Using Tillage to generate substantial invoice volumes while consistently collecting payments outside the platform impacts this sustainability. Similarly, large teams typically process enough payments that Premium would cost less than the free plan's 1% fee.

5. Pricing and Payment

Subscription Fees

• Free Plan: No monthly fee, 1% platform fee on payments processed
• Premium Plan: $49/month per team, 0% platform fee (only Stripe's rates apply)

Payment Processing

All payment processing is handled securely through Stripe. In addition to any platform fees:

• Stripe fees apply to all transactions (typically ~2.9% + $0.30 per transaction)
• These fees are charged regardless of your Tillage plan
• Payment information is stored by Stripe, not Tillage

Price Changes

We reserve the right to change our pricing with 30 days' notice. Existing customers will be grandfathered at their current rates unless they switch plans.

Refunds

Monthly subscriptions are non-refundable. You may cancel at any time, effective at the end of your current billing period.

6. User Content and Data

Your Data

You retain all ownership rights to content you create in Tillage including:

• Quotes, contracts, and invoices
• Client information
• Custom templates and branding
• Financial data

License to Tillage

By using Tillage, you grant us a limited license to host, store, and process your data solely to provide the Service. We will not use your data for any other purpose without your consent.

Data Export

You may export your data at any time in standard formats (CSV, PDF, etc.).

Data Retention

Upon account termination:

• Financial records are retained for 7 years for tax compliance
• Other data is deleted within 90 days unless legal retention is required
• You may request immediate deletion subject to legal requirements

7. Prohibited Uses

You agree not to:

• Use Tillage for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Upload malware, viruses, or harmful code
• Violate any applicable laws or regulations
• Use Tillage to send spam or unsolicited communications
• Reverse engineer or copy any features or functionality
• Resell or redistribute the Service without permission
• Use automated systems to access the Service beyond normal API use
• Share your Premium subscription with organizations outside your company

8. Third-Party Services

Tillage integrates with third-party services including:

• Stripe - Required for payment processing
• Harvest - Optional time tracking integration
• QuickBooks & Xero - Optional accounting integrations
• Postmark - Email delivery infrastructure

Your use of these services is governed by their respective terms of service. We are not responsible for third-party service availability, features, or policies.

Stripe Integration

When you connect Stripe:

• You enter into a separate agreement with Stripe
• Payment processing is subject to Stripe's terms and fees
• We receive only transaction metadata necessary to provide the Service
• Stripe handles all sensitive payment information

9. Intellectual Property

Tillage Property

The Service, including all software, designs, text, graphics, and other content (excluding your data), is owned by Tillage and protected by copyright, trademark, and other laws.

Trademarks

"Tillage" and our logo are trademarks of Empowered Labs LLC. You may not use our trademarks without prior written permission.

Feedback

If you provide feedback or suggestions about Tillage, we may use them without obligation or compensation to you.

10. Service Availability and Support

Uptime

While we strive for high availability, we do not guarantee uninterrupted access to Tillage. We may perform maintenance, updates, or experience outages.

Support

• Free Plan - Email support with 48-hour response time
• Premium Plan - Email support with 24-hour response time, onboarding assistance

Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We'll provide advance notice for material changes affecting existing features you rely on.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Tillage is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the past 12 months, or $100 if you're on the free plan
• We are not liable for third-party service failures (Stripe, integrations, etc.)
• We are not responsible for any loss of data, though we maintain regular backups

12. Indemnification

You agree to indemnify and hold Tillage harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through the Service

13. Termination

By You

You may cancel your account at any time from your account settings. Cancellation is effective at the end of your current billing period.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your usage violates our Fair Use Policy
• Your account has been inactive for over 2 years
• We're required to do so by law
• We discontinue the Service (with 90 days' notice)

Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• You remain liable for any outstanding fees
• You may export your data within 30 days
• Financial records are retained per legal requirements

14. Dispute Resolution

Informal Resolution

If you have a dispute, please contact us. We'll work in good faith to resolve it.

Governing Law

These Terms are governed by the laws of the United States and the State in which Tillage is registered, without regard to conflict of law principles.

Arbitration

For disputes exceeding $10,000, both parties agree to binding arbitration under the American Arbitration Association rules, rather than court proceedings.

15. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes by:

• Email notification to your registered email address
• Notice in the platform
• Updating the "Last updated" date at the top of this page

Continued use of Tillage after changes constitutes acceptance of the new Terms.

16. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy and Fair Use Policy, constitute the entire agreement between you and Tillage.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

No Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

We're not liable for delays or failures due to causes beyond our reasonable control (natural disasters, acts of God, war, pandemic, etc.).
